Terms of Service
These Terms of Service govern your use of Quartermast (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Who we are
Quartermast ("we", "us", "our") is an overnight operations platform for Shopify merchants. We provide automated ad pausing, restock and repricing tooling, and a daily profit-and-cashflow digest. References to "Quartermast" include the website, dashboard, API, and any software we ship as part of the Service.
2. Your account
You must provide an accurate name and email, keep your password confidential, and notify us promptly of any unauthorized use. You are responsible for activity that occurs under your credentials. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security, fraud, or abuse risk.
3. Subscriptions and payment
Paid plans are billed monthly in USD via Stripe. Prices are listed on the Pricing page and may change for new billing periods with reasonable notice for existing customers. You can cancel at any time from the dashboard; your subscription remains active until the end of the current billing period. Refunds are handled case-by-case and are not guaranteed except where required by law.
4. Acceptable use
You agree not to misuse the Service: no reverse engineering, no attempt to access non-public systems without authorization, no use that violates Shopify, Meta, TikTok, or supplier terms, and no resale of the Service except as expressly permitted. You may not use the Service to facilitate fraud, infringement, or unlawful activity in any jurisdiction where you operate.
5. Your data and the platform integrations you connect
You retain ownership of the data you upload, including store catalogs, supplier feeds, and audit logs. You grant Quartermast a limited license to process that data solely to operate the Service for you. We never sell your data and we do not share it with third parties except as needed to provide the Service (Stripe for billing, Meta/TikTok for ad pausing, supplier APIs for restock) or as required by law. 6. Automated actions and the overnight shift
The Service takes automated actions on your behalf (pausing underperforming ad sets, placing restock orders with your selected suppliers, repricing listings within the rules you set). Automated actions are governed by the rules you configure and the supplier and platform terms you are bound to. Quartermast is not responsible for losses that result from misconfigured rules, supplier-side errors, or platform-side suspensions outside our reasonable control.
7. Beta and preview features
From time to time we may invite you to try beta features before they are generally available. Beta features are provided "as is", may change or be withdrawn at any time, and should not be relied on for production-critical workflows.
8. Disclaimers and limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Quartermast will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, customers, or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months preceding the claim.
9. Changes to these Terms
We may update these Terms as the Service evolves. We will post the revised Terms on this page with a new effective date and, for material changes, notify active subscribers by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
